Artificial intelligence heavyweight Anthropic, the creator of the popular Claude chatbot, has taken a definitive step toward listing on the public stock market by filing a confidential draft registration statement with the U.S. Securities and Exchange Commission (SEC). The secretive regulatory submission allows the enterprise to undergo federal review while keeping its core financial metrics hidden from competitors and public scrutiny until much closer to its official trading debut.

The announcement comes directly on the heels of a historic $65 billion Series H funding round that rocketed the Silicon Valley startup’s post-money valuation to an astonishing $965 billion. This staggering leap in private valuation has allowed Anthropic to surpass its chief competitor,

OpenAI, which was valued at $852 billion earlier this year. Founded in 2021 by former OpenAI executives Dario and Daniela Amodei, Anthropic has achieved meteoric commercial success by tailoring its generative AI systems particularly its advanced coding assistant, Claude Code to enterprise clients, pushing its projected annual revenue run-rate to roughly $47 billion.

Despite its soaring revenue, Anthropic continues to navigate significant financial and geopolitical pressures. The company faces immense bills for specialized servers and computer chips, forcing it to strike heavy infrastructure deals with Google and Amazon, as well as leasing space at Elon Musk’s Colossus data centers for $1.25 billion per month.

Furthermore, the IPO preparation coincides with an escalating legal dispute with the U.S. Pentagon, which designated Anthropic a supply chain risk and blacklisted it from military contracts after the firm refused to give the military unfettered access to its AI models.

In a brief statement, Anthropic noted that the final timing, share volume, and pricing structure of the offering remain undetermined and will depend entirely on prevailing market conditions. Wall Street analysts expect the highly anticipated debut to occur as early as this fall, positioning it alongside imminent offerings from OpenAI and SpaceX in what could be the largest collective opening of the IPO floodgates in tech history.
